What's the difference between custom articles of association and standard models?
Custom articles of association are adapted to the specific needs of your project, allowing tailored clauses on share distribution, management bodies, share transfers, etc. Standard models are generic templates that may not cover your specific needs.
Is a shareholders agreement necessary if I already have articles of association?
Yes, it's highly recommended. The shareholders agreement complements the articles of association and allows establishing private agreements between partners on aspects such as share transfers, exit clauses, conflict resolution, etc., which are not always advisable to include in public articles.
How long does the formation process take?
The time depends on several factors: the complexity of the articles, notary availability and Commercial Registry deadlines. Normally, the complete process can take between 2 and 4 weeks from when we start until the company is fully formed and registered.
What procedures do you manage exactly?
